Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer") and Palace Analytics ("we", "us", or "our") governing your access to and use of the Palace Analytics web analytics service.

By creating an account, accessing the service, or installing our tracking script, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, do not use the service.

We may modify these Terms at any time. We will provide notice of material changes by posting an announcement on our website or sending an email to the address associated with your account at least 30 days before the changes take effect.

Your continued use of the service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the service and cancel your account before the changes take effect.

Palace Analytics provides privacy-first web analytics software, including a dashboard accessible at palaceanalytics.com and a lightweight tracking script you install on your website.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will endeavor to provide reasonable advance notice of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

The service is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, error-free, or meet your specific requirements.

To use the service you must create an account. You must be at least 18 years old and legally capable of entering into binding contracts.

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Failure to do so may result in suspension or termination of your account.

You are responsible for all activity that occurs under your account. You must maintain the confidentiality of your login credentials and notify us immediately at support@palaceanalytics.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your credentials.

You may use Palace Analytics solely to collect analytics on websites and applications you own or are authorized to instrument. You must not use the service in any way that violates applicable local, national, or international law or regulation.

You must not use the service to track personal data such as full names, email addresses, mailing addresses, government identification numbers, payment information, or health-related information. If we determine that you are intentionally using the service to track personal data, we may terminate your account without warning.

You must not attempt to probe, scan, or test the vulnerability of the service, circumvent any security measures, or reverse-engineer any part of the service or its underlying technology.

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these use restrictions.

You retain full ownership of all analytics data collected on your behalf ("Customer Data"). We acquire no rights in Customer Data except as necessary to provide the service.

We process Customer Data solely in accordance with your instructions and as described in our Data Policy and Privacy Policy. We do not sell, share, or use Customer Data for advertising or any purpose outside of operating the service.

You are responsible for ensuring that your collection and use of analytics data complies with all applicable privacy laws in your jurisdiction, including providing any required notices or obtaining any required consents from your end users.

The service, including all software, algorithms, interfaces, documentation, and associated intellectual property, is owned exclusively by Palace Analytics and protected by applicable intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes.

You may not copy, modify, distribute, sell, sublicense, or create derivative works based on the service or any part of it. Our name, logo, and trademarks may not be used without our prior written permission.

We offer a 14-day free trial with no credit card required. At the end of the trial period you may choose to subscribe to a paid plan or your account will be paused.

Paid plans are billed in advance on a monthly or annual cycle at the rates published on our pricing page. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. Payments are processed by Stripe.

You are responsible for providing accurate and complete billing information and for ensuring fees are paid on time. If payment fails, we reserve the right to suspend your account until payment is resolved.

You may cancel your subscription at any time through your account settings. Your access to the service will continue until the end of the current billing period. We do not issue prorated refunds for mid-period cancellations.

We may modify pricing at any time with at least 30 days advance notice by email. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.

If you believe you have been charged in error, contact us at support@palaceanalytics.com within 30 days of the charge and we will investigate.

Each subscription plan includes a monthly pageview allowance as described on our pricing page. You will never be charged extra for an occasional traffic spike.

If your usage significantly exceeds your plan limit for two consecutive months, we will contact you to discuss upgrading to a plan that fits your needs. You will have a reasonable period to decide. If no action is taken, we reserve the right to suspend your account.

The service may contain links to third-party websites or integrations with third-party services. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

We recommend reviewing the terms and privacy policies of any third-party services you connect to or interact with through Palace Analytics.

Each party may have access to information that is confidential to the other party. Each party agrees to hold the other's confidential information in strict confidence, to use it only for purposes of this agreement, and not to disclose it to third parties without prior written consent, except as required by law.

The service is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will meet your requirements, be available at any particular time, or be free from errors. No advice or information obtained from us creates any warranty not expressly stated in these Terms.

To the fullest extent permitted by applicable law, Palace Analytics and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from or related to your use of or inability to use the service.

Our total cumulative liability to you for any claims arising under or related to these Terms will not exceed the total fees paid by you to us in the twelve months preceding the claim.

These limitations apply regardless of the theory of liability — whether in contract, tort, negligence, or otherwise — and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Palace Analytics and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any third-party rights.

You may terminate your account at any time through your account settings. We strongly recommend exporting your data before deleting your account — once deleted, all Customer Data is permanently and immediately removed and cannot be recovered.

We may suspend or terminate your access to the service immediately, without prior notice or liability, if you breach any provision of these Terms or if we are required to do so by law.

Upon termination, all licenses granted under these Terms cease immediately. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive termination.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts of competent jurisdiction.

These Terms, together with our Privacy Policy and Data Policy, constitute the entire agreement between you and Palace Analytics regarding the service and supersede all prior agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
